360 announcement: Hu Huan promises to be a major shareholder in the next 12 months, and the company has no plans to increase.
On April 6, the 601360.SH Group issued a notice that recently there were media reports that the company's relevant shareholders may reduce their holdings. In order to avoid misleading investors, the company issued a special announcement stating that Zhou Hongyi promised not to reduce the company's shares within 12 months, while Hu Huan promised not to reduce its holdings within 6 months and remain a major shareholder in the next 12 months, and the company had no fixed increase plan.
According to the announcement, after a letter from the company's board of directors to Mr. Zhou Hongyi and Ms. Hu Huan, both parties made a clear commitment: Zhou Hongyi, as the actual controller of the listed company, explicitly promised not to reduce his 360 shares within the next 12 months from April 4, 2023. As a shareholder holding more than 5% of the shares of a listed company, Ms. Hu Huan promised not to reduce her 360 shares for the next six months from April 4, 2023; even if there are plans for the next 6-12 months, the number of shares to be reduced will not exceed 1.25% of the company's total share capital, and will maintain a majority shareholder with a shareholding ratio of no less than 5%.
In response to the "fixed increase" speculation made by the media, 360 announcement shows that as of the disclosure date of this announcement, all the production and operation of the company is normal, the monetary funds are sufficient, the funds raised previously have not yet been used, and the fund-raising projects are being carried out in an orderly manner. There are no plans to reissue shares to raise funds.
